Welcome to CoSpaces. By accessing our website, visiting our premises, or using our services (including memberships, meeting rooms, day passes, and private offices), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use our services.
1. Eligibility & Accounts
- You must be at least 18 years old to use our services.
- Some services require creating an account. You agree to provide accurate information and maintain the confidentiality of your credentials. You are responsible for all activity under your account.
2. Bookings & Memberships
- Bookings for meeting rooms, day passes, dedicated desks, and private offices are subject to availability and confirmation.
- Memberships and desk/office plans are billed in advance on a recurring basis as agreed at the time of subscription.
- You agree to use the spaces only for lawful business purposes and in accordance with building rules and these Terms.
3. Payments & Billing
- Fees are due as displayed at checkout or in your invoice. Prices may be updated from time to time; any changes will apply to future billing cycles.
- We may use third‑party payment processors. By paying, you agree to their terms and charges. Late or failed payments may result in suspension of access.
- Deposits, setup fees, and access card fees (if applicable) are non‑refundable unless otherwise stated in writing.
4. Cancellations, Refunds & Credits
Cancellations, refunds, and credits are governed by our Refund Policy.
5. Use of Premises & Conduct
- Be considerate of others: maintain a professional, quiet environment. Follow meeting room schedules, clean desk practices, and noise etiquette.
- Do not engage in illegal activities, harassing behavior, or activities that pose health, safety, or security risks.
- You may not sub‑license, assign, or share your access without prior written consent from CoSpaces.
- You must comply with building policies, fire safety procedures, and any posted house rules.
6. Meeting Rooms & Events
- Please start and end on time. Leaving belongings in rooms outside your booking window may result in removal by staff.
- Event bookings may require additional approvals, deposits, or insurance.
7. Mail Handling
- If mail handling is included in your plan, we will receive mail on your behalf during business hours. We are not liable for lost or delayed items.
- You authorize us to accept deliveries addressed to your name or company.
8. Internet & IT
- Internet access is provided on a shared, “as‑is” basis. You must not use the network for unlawful downloads, hacking, spamming, or other abusive activities.
- We do not guarantee uninterrupted service. Planned maintenance or unforeseen outages may occur.
9. Security & Surveillance
- For safety and security, common areas may be monitored by CCTV in accordance with our Privacy Policy.
- You are responsible for your belongings. Lockers (if provided) are used at your own risk. Report incidents promptly to staff.
10. Property & Damages
- You are liable for damage you or your guests cause to the premises, furniture, equipment, and fixtures (ordinary wear and tear excepted).
- You must not alter the premises (including cabling, furniture, signage) without written consent.
11. Intellectual Property
- The CoSpaces brand, content, website, and materials are owned by CoSpaces and protected by intellectual property laws. You may not use our marks or content without permission.
12. Third‑Party Services
We may reference or integrate third‑party services (e.g., payment gateways, conferencing tools). Their terms and privacy practices apply. CoSpaces is not responsible for third‑party acts or omissions.
13. Suspension & Termination
- We may suspend or terminate access immediately for non‑payment, policy violations, safety concerns, or unlawful conduct.
- You may terminate your membership according to your plan’s notice period. Fees already paid are handled per the Refund Policy.
14. Hours, Maintenance & Moves
- We aim to provide access during advertised hours. Access may be limited for maintenance, events, or building requirements.
- We may relocate you to an equivalent area within the premises if operationally necessary, with reasonable notice where feasible.
15. Disclaimers & Limitation of Liability
- Services are provided on an “as‑is” and “as‑available” basis. We disclaim warranties to the fullest extent permitted by law.
- To the maximum extent permitted by law, CoSpaces is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities.
- Our total aggregate liability for any claim is limited to the fees you paid to CoSpaces for the month in which the event giving rise to the claim occurred.
16. Indemnity
You agree to indemnify and hold harmless CoSpaces, its officers, staff, and affiliates from claims, damages, liabilities, costs, and expenses arising from your use of the services, breach of these Terms, or violation of any law or third‑party rights.
17. Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, power outages, strikes, epidemics, or government actions.
18. Changes to These Terms
We may update these Terms from time to time. Changes take effect upon posting on our website. Continued use of the services constitutes acceptance of the updated Terms.
19. Governing Law & Dispute Resolution
- These Terms are governed by the laws of Sri Lanka.
- Disputes will first be addressed through good‑faith negotiations. If unresolved, the parties agree to submit to the exclusive jurisdiction of the courts of Sri Lanka located in Colombo.
